5.2.2 Without prejudice to clauses 5.1.2 or 5.1.3, if the Provider wishes to increase the proposed service fee and/or additional user fee for the upcoming subscription period (“Proposed Fees”), the Provider will endeavor to inform the Subscriber of the proposed fees at least 1 calendar month before the end of a subscription period. Subscriber shall be deemed to have agreed to renew the Agreement for the next Subscription Period and to pay the Proposed Fees for that Subscription Period, namely: (a) after the expiration of one calendar month from the date of such notice (“the Opt-Out Period”), unless the Subscriber has notified the Provider that the Subscriber does not accept the Proposed Fees; or (b) have led to an agreement on the proposed fees as a result of discussions in good faith in accordance with clause 5.2.4; depending on the value of the last one, and thereafter, these proposed fees do not constitute an adverse change within the meaning of clause 7.2.1. 2.4.1 Except as expressly permitted by this Agreement (e.g. 5.2.4 Where, at the end of a subscription period, the proposed fees are actively discussed in good faith between the parties, the Provider has the right: (a) while continuing immediately, at the Reasonable Discretion of the Provider, to continue to provide the Service under the terms of this Agreement during that period and to charge the Subscriber for the fees incurred at the existing rates; (b) as soon as an agreement has been reached on the proposed fees to charge the additional amounts due for the period between the beginning of the subscription period and the conclusion of such an agreement; and (c) in the event that such an agreement is not entered into within a reasonable period of time, at the sole discretion of the Provider, to immediately cease the Service without the Subscriber or any other third party remaining liable….
